(e) We reserve the right to amend these Terms from time to time. We will try to give you reasonable advance notice of any changes, but in any case, amendments will be effective immediately upon notification on the Website. 3. Intellectual Property Rights

(a) All Intellectual Property Rights in the Website, including in the design, text, graphics, logos, icons, sound recordings, algorithms and all software relating to the Website belong to (or are licensed by) us.

(b) When you access the Website, you are granted a limited, non-exclusive, revocable, non-assignable and non-transferable right and licence to use the Website in the form provided. You are only permitted to access the Website through the proper use of the functionality of the Website in accordance with these Terms. The licence to use the Intellectual Property Rights in the Website is subject to your strict compliance with these Terms, and to any territorial restrictions that may apply from time to time.

(c) All Intellectual Property Rights in the products and/or the product packaging belong to us, and without limitation to any of our rights, you agree not to have any goods the same as or similar to the products made for you by any third party.

(d) You must not make any modification to the products or the packaging , including to remove or tamper with any trade marks used on or in relation to the products.

(f) You agree to keep confidential and not use, except for the purposes contemplated by these Terms, all information relating to the products and all confidential information regarding us that may be disclosed to you or which you may learn, except where such information is public knowledge or is required to be disclosed by law.

4. Privacy

(b) If you provide (or otherwise make available) any Personal Information about another individual to us, you must ensure you obtain all necessary consents and authorisations and provide all required notifications to allow us to collect, store, use and otherwise deal with that Personal Information lawfully.

5. Ordering

(a) You may place an order for the supply of Products by submitting an online order via the Website (Order).

(b) Orders are subject to our acceptance, and we may accept or reject all or part of an Order at our discretion. We will provide you with written confirmation of any Order we accept or reject.

(d) You may modify or cancel an Order prior to dispatch. We cannot modify or cancel Orders once the products have been dispatched. If you cancel an Order prior to dispatch, we will arrange for a full refund of the Purchase Price made to us by you.

(e) While we use reasonable endeavours to maintain accurate stock counts on our Website, from time to time there may be a stock discrepancy which will result in us not being able to fulfil all products set out in an Order. In those circumstances, we will contact you about whether you would prefer to await restocking of the backordered item and have the Order shipped in full or if you would prefer for us to process a refund.

6. Pricing and Payment

(a) All prices on the Website are displayed in Australian dollars (AUD) and include Goods and Services Tax (GST).

(b) Payment of the Purchase Price, GST, and any delivery charges must be made in full at the time you place an Order using one of the payment options offered at the checkout.

(c) We will not dispatch the Products until we have received payment in full.

(d) Prices on the Website may be varied at any time, and prices are subject to change until you have paid for the products in full.

(e) We may issue or promote discount codes or sales that offer a discount off the ordinary retail price of a product. To qualify for a discount or sale price, you must supply the applicable discount code at checkout or otherwise purchase products within the allotted sale period for sale prices automatically applied at checkout. Where a discount code is required, you may only use one discount code per purchase and use of a discount code may override or nullify another discount we may offer.

7. Delivery and Risk

(a) We will use all reasonable endeavours to deliver the products to the destination specified in the Order on or before the delivery date set out in the Order, however delivery dates are estimates and cannot be guaranteed. Delivery of products is complete upon their arrival at the location specified in the Order. Please see our Shipping Policy for information regarding usual dispatch times and shipping rates. It is your responsibility to notify us if the products have not been received within a reasonable time after the estimated delivery date.

(b) Title and risk in the goods passes to you upon delivery to the address specified in your Order.

(a) Our products are medical devices within the meaning of the Therapeutic Goods Act 1989 (Cth) and are included in the Australian Register of Therapeutic Goods where required by law. Product descriptions, images and other information displayed on the Website are provided for general informational purposes only and do not constitute medical advice.

(b) We do not warrant that any particular product is suitable for your individual clinical needs. You should always follow the specific instructions for use provided with the product and consult a qualified healthcare professional before using any medical device product.

(c) In the event of a product recall, hazard alert or other market action related to the products, we will use reasonable endeavours to notify affected customers using the contact details provided at the time of purchase.

(d) Where products are the subject of a product recall, you will provide us with all assistance reasonably required by us to recall the products and to limit liability to us and any third parties.

9. Warranties and Consumer Guarantees

(a) If the Australian Consumer Law applies to the supply of our products, we acknowledge and agree that our products and services also come with guarantees that cannot be excluded under the Australian Consumer Law, and that the following mandatory notice under section 102(1) of the Australian Consumer Law will apply:

You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. (a) Unless prohibited by law, our aggregate liability (whether under contract, in tort, under statute or otherwise at law or in equity) for Loss or Claims that are not ACL Claims arising out of or in connection with:

Any waiver must be in writing, signed by the party granting the waiver, and is effective only to the extent specifically set out in that waiver.

(b) The laws of Victoria, Australia govern these Terms. Each party irrevocably submits to the non-exclusive jurisdiction of Victoria, Australia courts and courts competent to hear appeals from those courts.

(c) If any provision of these Terms is found by any court or body of competent jurisdiction to be wholly or partially illegal, invalid, void, voidable, unenforceable, or unreasonable, it is to be treated as severed from these Terms in the relevant jurisdiction, but the rest of these Terms will not be affected.

(d) We will not be liable for any delay in performance of our obligations to the extent caused by events outside our reasonable control, including but not limited to acts of God, war, flood fire, strikes, riots, malicious damage, and governmental actions.
